EMULEX CORPORATION MERGER INVESTIGATION ALERT - Andrews & Springer LLC Is Seeking More Cash for Shareholders of Emulex Corporation

(Wilmington, DE) Andrews & Springer LLC, a boutique securities class action law firm focused on representing shareholders nationwide, is investigating potential breach of fiduciary duty claims against the Board of Directors of Emulex Corporation (“Emulex” or the “Company”) relating to the sale of the Company to Avago Technologies Limited (“Avago”). On February 25, 2015, the two companies announced the signing of a definitive merger agreement pursuant to which Avago will acquire Emulex in a tender offer deal worth $606 million. As a result of the merger, Emulex shareholders are only anticipated to receive $8.00 per share in cash in exchange for each share of Emulex.

Our investigation so far has revealed that the consideration Emulex shareholders are expected to receive is inadequate. While the Company claims that shareholders will receive a premium for their shares, the Company was offered $11.00 per share by Broadcom Corp. in 2009.

Andrews & Springer is also investigating whether Emulex directors are breaching their fiduciary duties by failing to adequately shop the company and maximize shareholder value. Additionally, our firm is also investigating whether the Company’s financial advisor conducted a fair sales process.
