On August 18, 2014, Andrews & Springer LLC filed a lawsuit against Del Frisco's Restaurant Group LLC and affiliates for, among other things, fraud and breach of contract, arising out of the Company's July 2012 initial public offering. The complaint, which was filed in the Delaware Court of Chancery, alleges that the Company and thier affiliates refused to pay one of Del Frisco's co-founding members certain benefits relating to her Class B and Class C equity interests that were triggered by Del Frisco's initial public offering.
